VIRTUAL OFFICE SERVICES AGREEMENT

 

      1. Use of Building.  Client agrees to not use Summit Executive Center or its premises for any unlawful, illegitimate or fraudulent purpose or for any purpose prohibited by U.S. postal regulations.  Client further agrees that any use shall be in conformity with all applicable federal, state and local laws.  Each individual or entity must complete a separate U.S. Postal Service Form 1583 (“Form 1583”) to be authorized to receive mail or packages at Summit Executive Center.

      2. Confidentiality.  This Agreement and Form 1583 shall remain confidential, except that this Agreement and Form 1583 may be disclosed upon request to any law enforcement or other governmental agency, or when legally mandated.  Additionally, Client acknowledges that pursuant to postal regulations, the information required to complete Form 1583 may be made available to the U.S. Postal Service.

      3. Authorization.  Possession of the Mailbox key shall be considered valid evidence that the possessor is duly authorized to remove any contents from the Mailbox.  In the event of death or incapacity of Client, Summit Executive Center will require the appropriate documents from the Probate Court, the executor of the estate, the trustee of other similar person or entity before releasing mail or packages to a requesting party.

      4. Fees.  Monthly charges to Client as well as charges for any additional services will be invoiced between the 10th and 15th of the month and are payable by the 10th of the following month.  If the payment is not received by the 10th of the following month, (the billing cycle runs from the first day of the month through the last day of the month), Client will pay a late charge of $10.00 or 2.5 percent (2.5%).

      5. Upon expiration, cancellation or termination of this Agreement, Summit Executive Center will:
        • Re-mail (i.e., forward) Client’s mail for six (6) months, provided Client pays the postage, packaging material, and forwarding fees in advance.  Additionally, Client must pay a monthly storage fee ($19.95) in advance for the time period that mail is to be forwarded.  It is Customer’s responsibility to make arrangements with Summit Executive Center to identify any mail forwarding needs prior to the expiration, cancellation or termination of this Agreement.
        • Discard or destroy any “Unsolicited Mail” (e.g., bulk mail; mail addressed as “occupant,” “current resident” or similar designation; or coupons, advertising or other promotional material) delivered to or remaining at Summit Executive Center.
        • Retain Customer’s mail, other than Unsolicited Mail, at Summit Executive Center for a period of thirty (30) days from the date of delivery or six (6) months after the expiration, cancellation or termination of this Agreement, whichever comes first.  If client leaves no forwarding fees or forwarding address, after such time, any mail or package may be discarded or destroyed. 

      6. Renewal. Upon the end of the Term, or any extension, the Term of the Agreement shall be automatically extended for the same period of time as the initial Term, upon the same terms and conditions, unless either party notifies the other in writing to the contrary at least thirty (30) days prior to the Termination Date. Client agrees that Summit Executive Center may terminate or cancel this Agreement for good cause at any time. Good cause shall include but is not limited to:
        1. Client uses the Mailbox for unlawful, illegitimate or fraudulent purposes.
        2. Client receives an unreasonable volume of mail or packages;
        3. Client engages in offensive, abusive or disruptive behavior toward other clients of Summit Executive Center or its employees. Client acknowledges that, for the purpose of determining good cause for termination of this Agreement as provided herein, the actions of any person authorized by Client to use the premises will be attributed to Client.

      7. Notices.  Any written notice to Client required under this Agreement shall be deemed delivered twenty-four (24) hours after placement of such notice in Client’s Mailbox or at the time personally delivered to Client.  Notice to Summit Executive Center must be given at 13575 58th Street North #200, Clearwater, FL 33760.  Notice must be by personal delivery, US mail or email that is has been acknowledged as received.

      8. As Client’s authorized agent for receipt of mail, Summit Executive Center will accept all mail, including registered, insured and certified items.  Unless prior arrangements have been made, Summit Executive Center shall only be obligated to accept mail or packages delivered by commercial courier services which require a signature from Summit Executive Center as a condition of delivery.  In the event client refuses to accept any mail or package, Summit Executive Center may return the mail or package to the sender and Client will be responsible for any postage or other fees associated with such return.  C.O.D. items are accepted ONLY if prior arrangements have been made and payment in advance is provided to Summit Executive Center.

      9. Client agrees to protect, indemnify, defend and hold harmless Summit Executive Center and it’s employees from and against any and all  losses, damages, expenses, claims, demands, liabilities, judgments, settlement amounts, costs and causes of action of every type and character arising out of or in connection with the use of the Mailbox, Telephone Numbers or Voice Mail, including without limitation, any demands, claims and causes of action for personal injury or property damage arising from such use or from failure of the Telecommunications provider, The U.S. Postal Service or any commercial courier service to deliver on time or otherwise deliver any items (mail, packages, etc.), from damage to or loss of any package or mail, or the Mailbox contents by any cause whatsoever, and from any violation by Customer of applicable federal, state or local laws.

      10. Mail received by Customer must bear a delivery address that contains the following elements, in this order:
        1. Intended Addressee:  _Your Company Name Here____________          
        2. Street number and name: 13575 58th Street North #200

        3. City, State and ZIP Code:  Clearwater, FL 33760-3721

      11. Basic Telephone Answering:  Includes unlimited inbound calls, off-site transfers, 8:30am to 5:00 pm, Monday thru Friday, and after-hours voice mail, with immediate message delivery
        All telephone numbers used by Client will remain at all times the property of Summit Executive Center and Client will acquire no rights beyond the term specified, unless agreed to.  In the event that any telecommunications fraud is traceable to Client, Client will reimburse Summit Executive Center for all charges associated with the fraud.  Any changes requested after the initial installation will be billed at the current Local Telephone installation companies billing rates.

      12. Damage.  Client shall not cause damage to any part of Summit Executive Center, the property of Summit Executive Center or disturb the quiet enjoyment of any other client in the Building. 

      13. Indemnity.  Summit Executive Center is not liable for personal injury suffered by Client, its guests, customers, clients, invitees or visitors.  The client hereby indemnifies and agrees to hold Summit Executive Center harmless from and against any and all damage, loss, cost and expense of any nature resulting from any act or of the Client’s guest, agents, or employees.

      14. Events of Default.  The following are Events of Default:
        1. Fixed Charges becoming past due;
        2. Variable Charges becoming past due;

      15. Remedies.  On default, Summit Executive Center may choose any or all of the following remedies;
        1. Terminate this Agreement;

        2. Accelerate the Fixed charges, and demand all sums due immediately;
        3. Deny access to the mailbox or deny use of any of the services; and

      16. The only person(s) who have authority to act for Summit Executive Center, and to bind Summit Executive Center, is Jacob Fisher or some other person he designates.  Until and unless written notice is received from Jacob Fisher, no one else has any authority to act on behalf of Summit Executive Center

      17. Payment Upon Execution.  This agreement becomes effective only upon delivery and executed by both Summit Executive Center and Client.  Upon submission of this agreement, Client will deposit with Summit Executive Center a Refundable Services Retainer that will serve as security for the full and faithful performance of each and every term, condition, covenant and provision of this agreement on Client’s part.

      18. Returned Check.  If a check is returned for any reason at all, Client will pay an additional charge of $35.00 per returned check.  If a check is returned, then, for the purposes of calculating late charges or events of default, it will be as if the payment represented by the check had never been made.

      19. Guarantor.  Guarantor is liable for all sums due under this Services Agreement, any Extensions, and any addenda executed contemporaneously with this Services Agreement, and for any other sums due from Client to Summit, no matter when or how incurred.

      BUILDING RULES AND REGULATIONS

       

      Summit Executive Center has adopted the following Rules and Regulations for the care, protection and benefit of the premises and for the general comfort and welfare of all Clients.  These rules and regulations are subject to amendment from time to time.

      1. Normal Building Hours are from 8:30am to 5:30pm, Monday through Friday.

      2. Summit Executive Center entry at times other than for Normal Building Hours shall be limited to entrance(s) as provided.

      3. Clients’, its officers, agents, employees, patrons, customers, licensees, invitees, and visitors shall not solicit in the building, parking facilities or common areas, nor shall Client distribute any advertising matter in automobiles parked in the Building’s parking facilities.

      4. Summit Executive Center will not be responsible for lost or stolen property, equipment, money, or any article taken from the premises, building or parking facilities, regardless of how and when loss occurs.

      4. CONFERENCE ROOMS:
        As a virtual office “client”, when you will require the use of a conference room or an office for meetings, our beautifully appointed conference rooms and day offices range from $12.50-$25.00 per hour (one hour minimums), $37.50-$75.00 for a ½ day or $75.00-$150.00 for an entire day.  The smaller one seats 4 and the larger one(s) seat as many as 8 around a beautiful “board table”, with couches for 10 more, in a room with a beautiful fireplace.

      2.  Press “#”
      3.  Enter your mailbox number – then enter your password.  The automated attendant will then tell you how many messages you have.  After you have listened to each message you must either press “3” to delete, or “5” to save before you can continue. 
      You can hear the date and time by pressing “8”.

       

      TO RECORD OR RE-RECORD A GREETING:

       

      1.  Dial 538-4104 (from outside the building) or 4104 (from inside the building), and wait for the Auto Attendant’s voice
      2.  Press “#”
      3.  Enter your mailbox number – then enter your password
      4.  Press 6 (change options)
      5.  Press 1 (change greetings)
      6.  Press 2 then 1 (record your greeting) and record.

       

      TO CHANGE YOUR PASSWORD:

       

      1. Dial 538-4104 (from outside the building) or 4104 (from inside the building), and wait for the Auto Attendant’s voice.
      2. Press “#”
      3. Enter your mailbox number –then enter your password
      4. Press 6 (change options) Listen Press 2 to record/rerecord greeting
      5. Press 3 (change password)
      6. Enter the new password you would like and wait for confirmation.
